These Terms & Conditions (“Terms”) govern your access to and use of the website, software products, platforms, services, and other technology solutions provided by AbelOps (“AbelOps,” “we,” “us,” or “our”).

By accessing our website, purchasing or subscribing to an AbelOps product or service, creating an account, or otherwise using our services, you agree to these Terms. If you do not agree with these Terms, please do not access or use our services.

1. About AbelOps

AbelOps is an enterprise technology company that develops software platforms, operational intelligence systems, automation solutions, and AI-enabled technologies designed to help businesses manage complex workflows and improve operational performance.

AbelOps develops purpose-built technology solutions for different business functions and industries. Our product ecosystem includes platforms such as AbelDispatch, AbelLearn, and AbelEdge, along with other technology solutions and services that may be introduced by AbelOps from time to time. 

These Terms apply generally to AbelOps products and services unless a particular product or service is governed by additional or separate terms.

2. AbelOps Products and Services

AbelOps provides software and technology solutions that may include:

  • Business and operational intelligence platforms;
  • Workflow and process management systems;
  • AI-enabled business automation;
  • Transportation operations technology;
  • Workforce learning and intelligence solutions;
  • Data, reporting, and analytics capabilities;
  • Business system integrations;
  • Custom technology solutions; and
  • Related implementation, onboarding, configuration, support, and technology services.

The features, functionality, availability, pricing, and applicable terms may vary depending on the product or service selected by the customer.

Specific product pages, order forms, subscription details, proposals, or other applicable agreements may provide additional information about a particular AbelOps product or service.

3. AbelDispatch

AbelDispatch is an AbelOps transportation operations intelligence platform designed to support businesses involved in transportation and related operational activities.

Depending on the plan or configuration selected, AbelDispatch may provide functionality including:

  • Booking and reservation management;
  • Dispatch management;
  • Driver and vehicle management;
  • Customer management;
  • Operational workflows;
  • Notifications and communications;
  • Reporting and operational insights;
  • Automation;
  • AI-enabled functionality;
  • Voice-based booking capabilities; and
  • Integrations with applicable third-party systems and services.

The features available to a customer depend on the applicable plan, configuration, and services purchased.

4. AbelLearn

AbelLearn is an AbelOps workforce intelligence and learning platform designed to support organizational learning, workforce development, knowledge management, and related business requirements.

The features and functionality available through AbelLearn may vary according to the applicable product configuration, subscription, or service arrangement.

Additional product-specific terms may apply where applicable.

5. AbelEdge

AbelEdge is AbelOps’ flagship business growth intelligence platform designed to connect and manage key business operations, workflows, data, and growth activities through a unified technology environment.

Depending on the applicable plan, configuration, or subscription, AbelEdge may provide functionality including CRM and sales management, accounting, HR, tasks and projects, business analytics, SEO, paid media, conversion optimization, website and social media management, and related business functions.

The features, functionality, integrations, and availability of AbelEdge may vary by plan, configuration, and service arrangement. Additional product-specific terms may apply where applicable.

6. Product Features and Changes

AbelOps continually develops and improves its technology products and services.

Features, functionality, interfaces, integrations, and other aspects of a product may be updated, modified, expanded, or discontinued from time to time.

Where reasonably practicable, AbelOps will provide appropriate notice of material changes that significantly affect a customer’s use of a paid service.

Product-specific agreements may contain additional provisions regarding feature changes, development, implementation, or service levels.

7. Accounts and Customer Information

Certain AbelOps products and services may require the customer to create or maintain an account.

Customers agree to provide accurate, complete, and current information when creating an account or purchasing a service.

Customers are responsible for:

  • Maintaining accurate account information;
  • Keeping login credentials secure;
  • Restricting unauthorized access to their accounts;
  • Ensuring that authorized users comply with these Terms; and
  • Notifying AbelOps promptly of suspected unauthorized access or security incidents.

Customers are responsible for activity conducted through their accounts except where such activity results from circumstances outside their reasonable control.

8. Plans, Pricing, and Fees

Pricing for AbelOps products and services will be displayed on the applicable product page, order form, proposal, checkout page, or other applicable purchasing documentation.

Depending on the product or service, charges may include:

  • One-time setup or implementation fees;
  • Recurring subscription fees;
  • Customization or configuration fees;
  • Additional services or usage-based charges; or
  • Other fees expressly communicated to the customer before purchase.

The applicable price and billing structure will depend on the product, plan, configuration, or service selected.

Customers will be informed of applicable charges before completing a purchase or entering into a subscription.

AbelOps may change pricing for future purchases or renewals. Where required by applicable law or the customer’s agreement, AbelOps will provide appropriate notice of changes to recurring charges.

9. Subscriptions and Automatic Billing

Certain AbelOps products and services are offered on a recurring subscription basis.

Where a customer subscribes to a recurring service, the customer authorizes AbelOps and its payment service provider to charge the applicable subscription amount automatically according to the billing schedule disclosed at the time of purchase.

Recurring subscriptions continue until cancelled in accordance with the applicable cancellation terms.

Before completing a subscription purchase, customers will be provided with information regarding:

  • The selected product or plan;
  • The applicable price;
  • The billing frequency;
  • Any applicable setup or initial charges; and
  • The method for cancelling the recurring subscription.

Customers are responsible for maintaining a valid payment method for recurring charges.

If a payment fails or remains unpaid, AbelOps may restrict or suspend access to the applicable service until the outstanding amount is resolved, subject to applicable law and the customer’s agreement.

10. Setup, Onboarding, and Implementation

Where an AbelOps product or service includes a setup, onboarding, configuration, or implementation fee, the applicable fee and scope of work will be communicated before purchase.

Setup or implementation services may include activities such as:

  • Initial account configuration;
  • Software setup;
  • Platform onboarding;
  • Applicable system configuration;
  • Integration-related setup;
  • Customer onboarding; or
  • Other implementation activities specified for the selected service.

The actual scope and duration of implementation may vary depending on the customer’s requirements and the complexity of the service.

Customers are responsible for providing the information, access, materials, and cooperation reasonably required for AbelOps to perform applicable setup or implementation services.

Delays caused by incomplete, inaccurate, or late information provided by the customer may affect implementation timelines.

11. Software Access and Service Delivery

AbelOps products and services are primarily delivered electronically through software platforms, online systems, digital communications, and related technology services.

Following a successful purchase and completion of any applicable setup or onboarding requirements, customers will receive the access information necessary to use their selected product or service.

The specific method and timing of service delivery may vary depending on the product, plan, implementation requirements, and customer configuration.

AbelOps does not generally ship physical products as part of its software subscriptions.

12. Acceptable Use

Customers may use AbelOps products and services only for lawful business purposes and in accordance with these Terms.

Customers must not:

  • Use an AbelOps service for unlawful, fraudulent, deceptive, or abusive activities;
  • Attempt to gain unauthorized access to AbelOps systems, accounts, networks, or data;
  • Circumvent or interfere with security or access controls;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from AbelOps software except where expressly permitted by applicable law;
  • Copy, reproduce, distribute, resell, sublicense, lease, or commercially exploit AbelOps software without written authorization;
  • Upload or transmit malicious code, viruses, or harmful material;
  • Interfere with the security, availability, performance, or operation of an AbelOps service;
  • Use an AbelOps service to infringe another person’s or organization’s rights; or
  • Use the services in a manner that could reasonably cause material harm to AbelOps, its customers, its systems, or third parties.

AbelOps may take appropriate action where it reasonably believes that a customer’s use of the services violates these Terms, applicable law, or the security or integrity of its services.

13. Customer Data and Content

Customers may provide business information, operational information, employee information, customer information, transportation information, learning content, or other data to AbelOps through its products and services.

Customers retain responsibility for the data and content they submit to AbelOps.

Customers represent that they have the necessary rights, permissions, and lawful basis to provide such information to AbelOps and to permit AbelOps to process it for the purpose of providing the applicable services.

AbelOps may process customer data as necessary to provide, maintain, secure, support, and improve its services in accordance with its Privacy Policy and any applicable data-processing or customer agreement.

Where additional data-processing terms are required, those terms may be documented separately between AbelOps and the customer.

14. Third-Party Services and Integrations

AbelOps products may integrate with or interact with third-party services, software, APIs, payment processors, communication providers, hosting providers, artificial intelligence technologies, and other external services.

Third-party services may have their own terms, privacy policies, security practices, availability limitations, and requirements.

Customers are responsible for maintaining any third-party accounts required to use an integration and for complying with the applicable third party’s terms.

AbelOps is not responsible for the independent operation, availability, security, content, or policies of third-party services outside AbelOps’ reasonable control.

  1. Intellectual Property

The AbelOps website, software, platforms, product names, trademarks, logos, designs, interfaces, documentation, technology, source code, systems, content, and other materials provided by AbelOps are owned by or licensed to AbelOps and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of AbelOps intellectual property to any customer.

Subject to payment of applicable fees and compliance with these Terms, AbelOps grants customers a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the applicable software service during the customer’s authorized subscription or service period for the customer’s internal business purposes.

Customers may not copy, modify, distribute, resell, sublicense, or commercially exploit AbelOps intellectual property except where expressly authorized in writing.

16. Customer Materials and Feedback

Customers retain ownership of materials and information they provide to AbelOps, subject to the rights necessary for AbelOps to provide the applicable services.

Customers grant AbelOps the limited rights reasonably necessary to host, process, transmit, store, and otherwise use customer-provided materials for the purpose of delivering the services.

If a customer voluntarily provides suggestions, recommendations, or feedback regarding an AbelOps product or service, AbelOps may use that feedback to improve its products and services without an obligation to compensate the customer, provided that AbelOps does not disclose the customer’s confidential information through such use.

17. Service Availability and Maintenance

AbelOps aims to provide reliable and secure access to its products and services but does not guarantee that every service will always be uninterrupted, error-free, or continuously available.

Service availability may be affected by:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Infrastructure or network failures;
  • Third-party service interruptions;
  • Internet connectivity issues;
  • Security incidents;
  • System upgrades;
  • Events beyond AbelOps’ reasonable control; or
  • Other circumstances outside AbelOps’ reasonable control.

AbelOps may perform maintenance, updates, and technical changes as reasonably necessary to operate, secure, and improve its services.

18. Security

AbelOps maintains reasonable technical and organizational measures designed to protect its systems and the information processed through its services.

Customers are responsible for maintaining appropriate security practices for their own accounts, devices, users, credentials, integrations, and systems.

No internet-based system can be guaranteed to be completely secure, and AbelOps does not guarantee that unauthorized access, security incidents, or other security events will never occur.

19. Payments

Payments for AbelOps products and services may be processed through third-party payment providers.

Customers must provide accurate payment information and authorize applicable charges.

Where payment information is processed directly by a third-party payment provider, AbelOps does not generally receive or store complete payment card information.

Payment processing may also be subject to the applicable payment provider’s terms, policies, and requirements.

20. Cancellation

Customers may cancel a recurring AbelOps subscription by following the cancellation method communicated for the applicable service or by contacting AbelOps at:

Unless otherwise stated in the applicable product or service agreement, cancellation will stop future recurring subscription charges while the customer’s current paid subscription period will remain active through its applicable end date.

Cancellation does not automatically result in a refund of amounts already charged for the current billing period.

21. Refunds

Refund eligibility depends on the applicable product, service, purchase, and circumstances.

Unless otherwise stated in an applicable agreement or required by law, AbelOps generally does not provide automatic refunds for subscription periods that have already been billed.

Refunds or billing adjustments may be considered for circumstances including:

  • Duplicate charges;
  • Billing errors;
  • Unauthorized transactions;
  • Qualifying service-related issues; or
  • Other circumstances where a refund is required by applicable law.

and provide sufficient information for AbelOps to identify and review the relevant transaction.

22. Suspension and Termination

AbelOps may suspend, restrict, or terminate access to a product or service where reasonably necessary to:

  • Protect the security or integrity of its systems;
  • Address unlawful, fraudulent, abusive, or prohibited activity;
  • Address a material violation of these Terms;
  • Address unpaid or failed charges;
  • Comply with applicable law or legal requirements; or
  • Protect AbelOps, its customers, or third parties from material harm.

Where appropriate and reasonably practicable, AbelOps may provide notice before suspension or termination.

Termination does not eliminate payment obligations that arose before termination.

23. Confidentiality

Each party may receive confidential or proprietary information from the other party in connection with the services.

Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the applicable business relationship.

These confidentiality obligations do not apply to information that:

  • Is or becomes publicly available without breach of an obligation;
  • Was already lawfully known;
  • Is lawfully received from a third party without confidentiality restrictions; or
  • Must be disclosed by law, regulation, court order, or governmental authority.

Additional confidentiality obligations may be established through a separate agreement where appropriate.

24. Disclaimers

To the maximum extent permitted by applicable law, AbelOps provides its products and services on an “as available” and “as provided” basis.

AbelOps does not guarantee that its products or services will:

  • Meet every individual customer requirement;
  • Operate without interruption or errors;
  • Produce a particular business, financial, operational, or commercial result; or
  • Remain available without temporary technical limitations.

Customers remain responsible for their own business decisions, operational practices, regulatory obligations, and use of information or outputs generated through AbelOps products.

25. Limitation of Liability

To the maximum extent permitted by applicable law, AbelOps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to the use of its products or services.

To the maximum extent permitted by applicable law, AbelOps’ total liability arising from a customer’s use of a service will be limited to the amount paid by that customer to AbelOps for the applicable service during the twelve-month period preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

26. Indemnification

To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless AbelOps and its officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • The customer’s unlawful or unauthorized use of an AbelOps service;
  • The customer’s violation of these Terms;
  • Customer-provided content or information that infringes the rights of another party; or
  • The customer’s violation of applicable laws or regulations.

27. Changes to These Terms

AbelOps may update these Terms from time to time to reflect changes to its services, business practices, legal requirements, or other relevant circumstances.

Where material changes are made, AbelOps may provide notice through its website, email, customer account, or another reasonable method.

The updated Terms will become effective on the date stated in the revised version.

Continued use of the applicable services after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

28. Governing Law and Dispute Resolution

These Terms will be governed by the laws applicable to the legal entity operating AbelOps and the jurisdiction in which that entity is legally established, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any dispute arising from or relating to these Terms or an AbelOps product or service will be handled in accordance with applicable law and the jurisdiction governing AbelOps’ legal entity.

The applicable governing law, venue, and dispute-resolution provisions may be specified in a separate customer agreement where appropriate.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

30. Entire Agreement

These Terms, together with any applicable order, subscription details, product-specific terms, proposals, Privacy Policy, Refund and  Cancellation Policy, and other agreements expressly incorporated by reference, constitute the agreement between the customer and AbelOps regarding the applicable services.

If a separate written agreement signed by AbelOps and a customer contains terms that conflict with these Terms, the signed agreement will control to the extent of the conflict.
